SURFF-AI: Master Service Agreement

This Master Service Agreement ("Agreement") is a legal contract between Surff-AI ("Company", "we", "us") and the business entity or individual accepting these terms ("Client", "you"). By activating the Surff-AI 40-day demo or bridging your business assets to our protocol, you agree to be bound by the following terms.

1. THE 40-DAY "DEMO" LICENSE

Surff-AI provides a forty (40) day evaluation period (the "Demo") to demonstrate ROI. During this period, Surff-AI grants the Client a non-exclusive, non-transferable, revocable license to utilize the Surff-AI ecosystem, including the TextBack system and LeadConnector interface.

2. OWNERSHIP & INTELLECTUAL PROPERTY (IP)

2.1 The Engine:

The Client acknowledges that the "TextBack system" (including the Chatbot and Workflow Automations) is a proprietary service of Surff-AI.

3. TERMINATION & REVOCATION

3.1 Termination of Demo: The Demo period ends exactly forty (40) days from the date of the system's activation.

3.2 Revocation: If a monthly subscription is not confirmed and paid by 11:59 PM GMT on Day 40:

  • Your access to the LeadConnector App will be revoked;
  • Any business phone numbers provided by Surff-AI will be reclaimed and disconnected;
  • All Instant-Text functionality will be disabled;
  • All AI chatbot functionality will cease.

3.3 Data Loss: Surff-AI is not responsible for any loss of leads, data, or communication history resulting from the revocation of service due to non-subscription.

4. AI AGENCY & CHATBOT DISCLOSURE

4.1 AI Representation: The Client acknowledges that the AI Chatbots are "Agents" acting on behalf of the Client’s business.

4.2 Liability of Speech: The Client agrees that they are ultimately responsible for the output, statements, and appointments made by the AI. Surff-AI utilizes enterprise-grade LLMs (Large Language Models), but does not guarantee 100% accuracy. The Client agrees to hold Surff-AI harmless for any errors, accidental discounts promised, or misinformation provided by the AI during customer interactions.

4.3 Supervision: It is the Client’s responsibility to monitor the "LeadConnector" app and intervene in conversations where necessary.

6. PHONE NUMBERS & COMMUNICATION

6.1 Provisioning: Any phone number assigned to the Client during the Demo is a "Leased Asset."

6.2 No Porting: The Client is strictly prohibited from attempting to port the number to another carrier during the Demo. Surff-AI reserves the right to terminate the number immediately upon the end of the Demo period.

7. SUBSCRIPTION PRICING & FAIR USAGE

7.1 Standard Subscription Fee: Unless otherwise agreed in writing, the standard monthly subscription fee for one (1) TextBack number is €125 per month.

7.2 Fair Usage Policy: The standard subscription fee is based on reasonable and expected business usage of the TextBack platform. If, in Surff-AI's reasonable discretion, a Client's usage materially exceeds normal or anticipated usage levels (including, but not limited to, exceptionally high AI processing, messaging volume, automation executions, or other infrastructure costs), Surff-AI reserves the right to increase the monthly subscription fee applicable to the affected TextBack number(s).

7.3 Notice of Price Adjustment: Surff-AI will provide the Client with at least thirty (30) days' prior written notice before any price increase takes effect. During this notice period, the Client may cancel the affected subscription before the increased pricing becomes effective. Continued use of the affected service after the effective date constitutes acceptance of the revised pricing.

7.4 Number-Specific Pricing: Each TextBack phone number constitutes a separate subscription. Any price adjustment made under this Agreement applies only to the individual TextBack number whose usage exceeds reasonable limits, unless otherwise agreed in writing. A pricing adjustment affecting one number does not automatically apply to any other TextBack subscriptions held by the Client.

7.5 Additional TextBack Numbers: Each additional TextBack phone number requested by the Client shall be treated as a separate subscription under this Agreement. Every additional TextBack number is billed at a monthly subscription fee equal to 20% less than the standard subscription price, which is currently €100 per month (being a fixed 20% discount from the standard €125 monthly subscription fee). This discount applies independently to each additional number and is not compounded or increased for multiple additional subscriptions.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by Irish law, Surff-AI shall not be liable for any indirect, incidental, or consequential damages (including loss of profit or business reputation) arising from the use or the "Kill Switch" revocation of the services provided.

9. DATA PROCESSING (GDPR)

The Client acts as the Data Controller and Surff-AI acts as the Data Processor. By using this service, you agree to our Data Processing Agreement (DPA) regarding the handling of customer WhatsApp numbers and lead information.

BY FOLLOWING THE "ACTIVATION" STEPS OR BRIDGING YOUR ACCOUNTS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS MASTER SERVICE AGREEMENT.
